Midc plot transfer : non-payment of balance & consequences

Running factory to be transferred to another party after obtaining permission of MIDC. Transferee willing to pay only 20% now on Agreement to Assignment (Unregistered) and nothing at the time of demand/ transfer permission from MIDC and balance 80% at the time of execution of Deed of Assignment.

Request clarification on following points:

1. On receipt of transfer permission, it is said that even if TRANSFEREE never pays remaining amount nor bothers to complete the DEED of ASSIGNMENT, the transfer order of MIDC cannot be cancelled on request by TRANSFEROR alone, as both parties need to submit signed affidavit to MIDC to cancel the same.

2. With the help of Transfer Order, even before the execution of Deed of Assignment, the TRANSFEREE can get water connection, electric connection, possession of the factory and as per MIDC he will be treated as the new owner for all purposes.

3. Parties cannot show AGREEMENT To ASSIGNMENT to MIDC, it is an illegal document as TRANSEROR has no permission yet to talk about TRANSFER/ASSIGNMENT of lease property and MIDC is not party to this as in original lease deed it is clearly mentioned that LESSEE (we) cannot assign our lease to anyone without permission of MIDC. Therefore, this document cannot even be registered with stamp duty and it is common practice to execute it on Rs 500 stamp paper and leave it unregistered. 

There is lack of clarity on how the transaction is to be completed, as different opinions are being received from consultants, MIDC staff, retired MIDC experts, and lawyers.

1) This deed of assignement etc has no legal value in such schenerio and it is certainly going to create legal complication in my opinion. 

2) You are Lessee , MIDC is Lessor . Lessor has given land on Leasee to run small scale industry and hence without permission of Lessor no legal transcation can take place and you can not transfer the land to third party (It will be illegal transcation) . Lessor in Lease deed myself sure have put condition that Land can not be transferred to third party without its permisssion.

3) MIDC is working under special  act that is Maharashtra Industrial Development Act 1961 

4) MIDC have some guidelines and rules framed under the said act for transfer of Plot alloted on lease , Now situation is that there are various amedment and today while searching I could not get latest guideline although old guideline which are 2 decades back I saw still sceptical about them.

5) First question which required to be determined in such case will be who the plot is alloted on lease as per Lease deed . See here the question which I am asking which form of business organization , it can be propritor , partnership firm , Pvt Ltd company .........

6) Once this is cleared then accordingly we require to study further , take for eg. if Pvt Ltd. Company is alloted the plot then transfer of shares in private limited company appoitment of new directors etc will solve the problem legally

7) If it is based on partnership firm then we need to think according that how to do retirement of partner and add partner according to partnership act

8) If it is indvidual , then more energy required to be inserted in this case by taking proper book , which contains circular , notification rules regulation with detail study and then getting things done or implemented

Additionally since it is running factory so other set of registaration /license who has (on whose name that too required to be studied ) .

Generally while getting plot on lease in industrial zone generally person create artifical body like Pvt. Ltd company so transfering of shares in the company can give him feasibility .
