MOU

What are the points or clauses that are included in a memorandum of understanding (MOU)? Please specify in points. I am also looking for a general format of MOU. Like for eg if a telecom company wants to tie up with other network company to share roaming then what should be the contents or pl provide with format of roaming agreement?
