Dissolving a partnership- sale of goodwill.

I have given a notice to my two partners to dissolve the partnership. there is goodwill of the firmwhich has a value. I have offered a meeting of partners wherein any of them can buy the goodwill. Problem is that one of the partners is not comming forward for the same and is simply not responding. As the time goes by goodwill will evaporate. How can I force his hand for sale of goodwill. Matter is very current and therefore urgent.

if one of the partner is not ready for the same then you need to approach the civil court for the same and you may ask the court to appoint a court receiver to monitor the business and its accounts so that no malpractices could be done till the court gives its order.

the partnership is AT WILL. Hence I believe any one partner can dissolve it under section 43 and 53 of Act.

Problem is how to sell the assets including goodwill if one partner doesnt cooperate.
