Assocham Presents: Capacity Building Workshop for Directors

The board of directors is the most important decision making body of a company. Its independence is indispensable in ensuring high standards of corporate governance. The recent corporate scams that India has witnessed and the subsequent increase in the number of resignations by independent directors from the boards of companies, the revamp of the existing corporate regime's concept of independent director is a welcome change. For the first time, the Companies Act 2013 (the Act), provides for appointment of Independent Directors on the Board of Listed as well as certain specified unlisted public companies, includes guidance about the role and standards that independent directors must aim to achieve and maintain. 

 

The Act also provides for appointment of Women Director on Board of Companies. While the mandatory requirement for appointment of women directors is expected to bring diversity on to the boards, companies may find it difficult to be in compliance with 2013 Act unless they have already identified or internally groomed women candidates that are qualified to be appointed to the board. 

 

We at ASSOCHAM are taking an initiative to discuss and deliberate the detailed related provisions under the new Act, organizing a Two Days Non-Residential Capacity Building Workshop for Directors on 24th and 25th September, 2014 at New Delhi to sensitize existing and prospective directors to the nuances of corporate board functioning.
