Dear Sir
out of 4 director, two director have wrong intention,
They increase company capital by 30 to 75, but paid-up is still 30.
now they want increase share in only there account.
How to stop increasing share?
Do I need separate company secretary to submit application for stop increasing shares in ROC?
Can we 2 director (out of four) conduct board meet & pass resolution?
Can we 2 director write application to stop increasing share direct ot ROC office?
Please help me urgently

Dear Sir
Company have 4 directors ABCD
A & B are together .(group 1) C & D together (group 2)
Group 1 have 42.67 % share, Group 2 have 33.34 % share and three-share holder are in depended, but they can join me.
Company Capital was 30, now group 1 has increased capital from 30 to 75.
Now authorized capital is 75, & paid-up capital is still 30
Now group 1 is trying to increase their share more then 50%, to hold the company
Can group 1 increase their share without group2 and three other shareholder concerns?
Can group 1 (50 % director) take any decision without group 2 (50 % director) acceptance?
Can we request ROC, not to increase any share to any body, or what is procedure to stop increasing shares?

Cancelation of lease

Dear Sir
There are 4 directors in my company, I am one of them.
In year 1995 I gave my land for rent for 30 years.
Now I want discontinue this agreement, because some term not in my favor, like if company fail to repay loan of bank, the bank can sale my property & recover his money. I agreed on faith by mistake.
Now I want cancel this agreement, but a director who signed this agreement is refusing.
Our of 4 director, 1 director is with me & I am also director.
Can I cancel this agreement , if any 1 director sign on stamp?
Or what is procedure to cancelation?
