Unpaid dividend

There is some dispute with regard to registration of transfer and the court has issued an ad-interim injunction order in terms of prayers (a) to (e) of the petition. In prayer (c) the Plaintiff has prayed for perpetual injunction restraining the defendent from issuing any dividend, right shares etc pertaining to the disputed shares in favour of any party.Since more than 7 years have passed,Bank with which Unpaid Dividend Account was opened is insisting for closing the account by way of transfer to IEPF A/c.

Dear Mr. Maitra,

After all, as per the orders of the Court, the Company is not to make payment of dividend to any one in respect of the shares in dispute.

If that be so, the Company can keep the same in a separate account with itself, instead of opening a separate account in a Bank. As and when the court resolves the dispute about the ownership of the share, and directs release of the past dividends, the same can be released by the Company. There should not be any problem in doing so.

In any case, the amount cannot be credited into the IEPF A/c.

The author's behavior is condemn able, he cannot issue warnings to the people who opt to advise free of cost, especially expert Mr. Shroff has commands a very good respect and reputation owing to his skill, experience and knowledge, his admirable advises/opinions/suggestions here not only benefits the queriests but also the experts and others in general. The author may withdraw his statement and should have more control over his language while addressing respected senior advocates/experts. Be contended with the advise/opinion rendered by expert Mr. Anirudh.

If it was necessary to file personal profile,it should have been asked for before admitting me as a member.That was not my fault.
