Dear Sir,
I am practicing CA. I want to purchase goodwill of CA firm (proprietorship), whose owner has died in Dec 2017.
I want to know the procedure for this.

You need to execute an agreement with the legal heirs of deceased proprietor settling therein complete terms and conditions and then get the same registered with the registrar of the area.

Not so simple, as you think and want to know through your casual nature of the query. A long list of information can be desirable before advice on the issue. Better discuss in detail with some expert in intellectual property rights, who may be well worse with the Value of Intellectual Property, Intangible Assets and Goodwill, etc., besides the property rights of the legal heirs of the deceased.
